FIP Academy – Terms of Use

 

These Terms of Use apply to the use of the FIP Academy website and platform (the “Platform“). Please read these Terms of Use carefully before accessing and using the Platform. By accessing or using the Platform, you agree to be bound by these Terms of Use.

If you do not agree to these Terms of Use, you shall not use the Platform. If you continue to access and use the Platform, you will be deemed to have accepted these Terms of Use. These Terms of Use must be read in conjunction with any other applicable terms governing the use of the Platform, including the Privacy Policy of the International Padel Federation available at: https: //www.padelfip.com/privacy/.

We may amend these Terms of Use at any time by making changes to this page or, where appropriate, by email. If you continue to use the Platform after changes are made or after receiving written notice, you will be deemed to have accepted the amended Terms of Use.

 

About the Platform

 

The Platform is owned and operated by the International Padel Federation (“FIP,” “we,” “us,” “our”), a non-profit organisation incorporated under the laws of Switzerland (tax ID CHE 154.720.366) – with registered office in Maison du Sport International, Av. de Rhodanie 54, CH-1005, Lausanne – that manages and organises the sport of padel at worldwide level.

Through the Platform, you will have access to padel-related contents and materials, such as, inter alia, scientific articles, training methodologies and exercise recommendations (“Materials”), which must be used in strict accordance with these Terms of Use.

More specifically, FIP makes the Platform available to any individuals who seek high standards of education, formation and professionalism in the padel sector and, in particular:

–           to padel coaches who wish to attend the official courses (“Coach Courses”) made available to obtain the licenses issued by FIP, to be qualified as authorized players’ coaches in FIP official competitions (“Coaches”);

–           to tournament referees and chair umpires who wish to attend courses taught by most prominent figures in padel refereeing (“Officiating Courses”) and receive adequate quality of training and the best possible theoretical preparation to officiate in FIP official competitions (“Referees”);

–           to any padel enthusiast who seek free contents to improve their gameplay and expand the knowledge of the sport (“Enthusiasts”).

 

Coaches, Referees and Enthusiasts shall be jointly referred to as “Users,” “you,” or “your” in these Terms of Use.

Coach Courses and Officiating Courses shall be jointly referred to as “Courses”. Courses will be taught in person or in digital e-learning format.

 

A – Account

 

A.1 – Creation of the Account 

 

In order to be able to access the Platform, you must register and create an account on the Platform (“Account“).

Before using the Platform, you must complete your Account profile and set a unique username and password. You agree to provide true, accurate, current, and complete information when creating an Account and when using the Platform, and you are responsible for keeping such information up-to-date.

Each time you access the Platform, you will be required to log in using your username and password (“Login Details“). You are the sole responsible for all activity that occurs on your Account, whether or not authorized by you. Therefore, be sure to protect the confidentiality of your Login Details.

If you have any reason to suspect that your Login Details have been disclosed or unauthorizedly shared, or that your Account is being misused, you must notify FIP immediately and take all necessary steps to prevent further unauthorized access, including changing your Login Details and taking other security measures provided by FIP. FIP shall not be liable for any loss or damage resulting from unauthorized use of your Account.

We reserve the right to delete your Account, and any information you have submitted onto the Platform at any time, should you breach these Terms of Use.


A.2 – Accessing and using the Platform

 

Upon creation of the Account, subject to your ongoing compliance with these Terms of Use, we grant you a limited, personal, non-transferable, revocable, and non-exclusive licence to access the Platform and use the Materials for the authorized purposes.

We may, for technical, legal, or operational reasons make procedural or technical alterations and/or improvements to the Platform and may, temporarily, suspend or restrict access to the Platform for any reason, in whole or in part, with or without notice. We shall not be liable to you for any such alteration, suspension, or restriction.

If we suspend your access to or your use of the Platform, you will continue to be bound by the Terms of Use that were in effect as of the date of your suspension.

We are not responsible for providing the technical means for you to access the Platform. You are responsible for making all necessary arrangements to obtain access to the Platform, including, without limitation, any required equipment and software.

You must not use the Platform in any way that breaches applicable laws or has any unlawful or fraudulent purpose or effect.

When creating an Account and using the Platform, you shall not:

–           create more than one Account or impersonate other persons;
–           share, sell, or provide access to your Account (including Login Details) to other persons or entities;
–           use the Platform for unlawful, misleading, or fraudulent purposes;
–           attempt unauthorized access to any part of the Platform, or to collect information in unauthorized ways;
–           license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit the Platform, the Materials or any other information thereon, or make the Platform and the Materials available to any third party in any way;
–           interfere or attempt to interfere with the proper functioning of the Platform;
–           take any action which imposes an unreasonable or disproportionately uploading on the Platform’s infrastructure;
–           gain or attempt to gain unauthorized access to any system or network connected to the Platform, or to other people’s Accounts;
–           reverse-compile, reverse-disassemble, or reverse-engineer the Platform or its technologies; or
–           use or access the Platform to develop a competing product or service.

 

A.3 – Security of your Account

 

You are responsible for preventing unauthorized access to your Account and maintaining the confidentiality of your Login Details.

You must take your own precautions to ensure that the process which you use for accessing the Platform does not expose you to the risk of viruses, malicious computer code, or other forms of interference which may damage your own computer system and/or device. For the avoidance of doubt, we are not responsible for any interference or damage to your own computer system and/or device which arises in connection with your use of the Platform.

While we endeavour to protect the security and integrity of the Platform and its content, we cannot guarantee that any information, during transmission through the Internet or while stored on our system or otherwise in our care, will be absolutely safe from intrusion by others, such as hackers or unauthorized users.

If at any time during or after your usage of the Platform you believe that the security of the Platform may have been compromised, please notify us as soon as you become aware of it, without unjustified delay. Please use the contact details provided at the end of these Terms of Use.

 

B – Courses and Materials: Ownership and Intellectual Property Rights

 

All proprietary rights, including without limitation, copyright, trademarks, database rights, and other intellectual property rights in and to the Platform, including Materials made available on the Platform and during the Courses, shall be and remain with us.

When you are given access to the Materials, you are granted a non-exclusive, non-transferable, revocable licence to use them. No Material may be copied, reproduced, uploaded, posted, displayed, recorded, exploited or distribute in any manner or medium (including by email or other electronic means), in whole or in part, without FIP’s prior permission, unless by linking to the Platform itself. Any such use is strictly prohibited and will constitute an infringement of FIP intellectual property rights.

The Users agree not to use the Materials in connection with artificial intelligence, machine learning, or similar technologies. Any usage of the Materials and other contents of the Platform to train any AI system is forbidden.

 

No rights are transferred to you beyond those explicitly granted in these Terms.

If you submit, upload, or post any materials, information, or content to the Platform, you grant the FIP a royalty free, perpetual, irrevocable, transferrable, assignable, sub-licensable, worldwide license to use such materials and content, including alterations thereof, in any form, in any media, and via any technology we choose, whether it exists now or is created in the future. You represent that any materials and content posted or otherwise submitted by you to the Platform is original and that you have the right to grant us these rights.

 

C – Booking and payment of the Courses

 

Courses will be available subject to the payment of a fee. Courses can be booked exclusively through the forms available on the Platform. When you submit for a Course, your submission represents an offer to FIP to book you onto the Course you selected.

Courses’ fees shall be paid at the moment of booking via a secure online payment process. In all cases, payment must be received prior to the start of the Course. All major credit and debit cards are accepted. A receipt will be sent to you by email from our online service provider confirming payment. The online payment provider will receive the information needed to verify and authorize your payment card and to process your order and is under strict legal and contractual obligations not to disclose this information to third parties. Please note that if you do not provide accurate details (including type of card and number) or if your credit card company denies payment, your submission will be deemed void. FIP will not accept any liability for costs incurred as a result of submissions deemed void in this manner.

Sales taxes (VAT, TVA etc.), if any, are charged at the applicable rate depending on the customer.

 

D – Your Privacy and Personal Data

FIP processes your personal data collected via the Platform in its quality of data controller.

 

E – Confidentiality

 

You acknowledge that the Platform may contain confidential, proprietary, or sensitive information, including, without limitation, information regarding FIP’s business affairs and operations, as well as those pertaining other Users, the Materials and other information that is not publicly or generally known, which could be used to the detriment of FIP and/or other Users (“Confidential Information“).

Except where required by the law, you agree not to disclose, directly or indirectly, any such Confidential Information to any person, firm, corporation, association, or other national or international entity for any reason or purpose whatsoever, unless specifically authorized to do so in writing by FIP. You shall immediately notify FIP of any lawful or unauthorized disclosure or use of any Confidential Information of which you become aware.

You acknowledge that breach of this Section E may result in the termination of your use of the Platform utilization, and may also subject you to personal liability as well as sanctions for violation of the law.

 

F – Disclaimer

 

We cannot guarantee the availability of the Platform and you acknowledge that the Platform is offered on an “as is” and “as available” basis. This means that we cannot guarantee that:

–           the Platform will be available to you at any particular time;
–           the Platform will meet any particular requirements other than those mandatory by applicable law, or grant any particular results; and
–           the Platform will be uninterrupted or error-free or will be free of viruses or other harmful components, or that defects will be corrected.

We shall not be liable for any loss or damage that you may incur if the Platform is unavailable for any period of time.

You agree that the use of the Platform is at your own risk. Although we will endeavour to ensure that the information and Materials posted on the Platform are accurate and up-to-date, we reserve the right to monitor, edit, or remove any information or Materials on the Platform at any time.

We are not responsible for any content or materials posted to the Platform by Users, nor for disputes between Users, or between Users and third parties.

These disclaimers apply also to third parties that are involved in the creation, production, or distribution of the Materials, and any of their employees, contractors, and agents.

 

G – Limitations of Liability

 

Neither we nor any of our affiliates, or any of our or their directors, officers, employees, agents, contractors, or service providers, shall be liable (whether for negligence, breach of contract, tort, misrepresentation, restitution, or otherwise) for any loss or damage, howsoever caused (including, without limitation, direct, indirect, incidental, special, consequential, exemplary, or punitive damages and damages for loss of profits, goodwill, use, data, business opportunity, anticipated savings, or other intangible losses) resulting from or in connection with the Platform (or content, Materials, services, and functions provided as part of the Platform) or your use or inability to use the Platform.

We will not be liable or responsible for any failure or delay in the performance of any of our obligations under these Terms of Use caused by events outside our reasonable control (including, but not limited to, the decision of any court or other judicial body of competent jurisdiction, the unavailability of equipment, power, or other commodity, the failure or non-availability of Internet or telecommunications facilities, acts of government or other prevailing authorities, or defaults of third parties).

The FIP and any of our respective employees, agents, representatives, and/or independent contractors shall benefit of the disclaimers, exclusions and limitations of liability set out in these Terms of Use in FIP’s favour.

 

H – Indemnity

 

You shall defend, indemnify, and hold us and our affiliates (including our and their respective directors, officers, employees, and agents) harmless from and against claims, actions, proceedings, losses, damages, expenses, and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with or in relation to: (a) your use of or inability to use the Platform; (b) the use of the Platform by any person using your Account; (c) your breach of these Terms of Use.

This Section shall survive these Terms of Use and the termination of your use of the Platform.

 

I – Severability

 

If any provision of these Terms of Use (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, such provision is deemed severable and will not affect the validity or enforceability of the remaining provisions.

 

J. Third Party Links

 

The Platform may contain links to third-party websites. We are not responsible for, and do not endorse, the content of any such websites. When you visit a linked website, you should read the relevant terms of use and privacy policy that govern that particular linked website.

 

K. Governing Law and jurisdiction

 

These Terms of Use, and the relationship between you and us, will be governed by the laws of Italy, without giving effect to any principles of conflicts of law. Should any disputes arise on the interpretation or execution of the obligations in this Terms of Use, the Parties expressly agree to confer exclusive jurisdiction, with the mandatory exclusion of any other competing jurisdiction, to the Court of Rome.
